Section 171 of the Companies Act requires all Singapore registered companies to appoint a Company Secretary within 6 months of incorporation. The Company Secretary must be ordinarily a resident of Singapore. A resident is defined as a Singaporean
citizen, Singaporean PR or someone who has an Employment Pass,
EntrePass or Dependant Pass.
In the case of a sole director or shareholder, that same person cannot act as the Company Secretary. It is also compulsory for Public Companies to appoint professionally qualified secretaries, i.e. lawyers, accountants or chartered secretaries (source: ACRA).
